Contribution Agreement - Holding Company Structure - Multi-Member LLCs

Attorney-drafted high quality yet simple Contribution Agreement designed for the following situation (and assumes the following):

• You have an existing LLC (which we'll call the Subsidiary LLC) that has more than one member (i.e., a Multi-Member Subsidiary LLC).
  
  
• You want your Subsidiary LLC to be owned by a holding company LLC (which we'll call the Holding LLC);
  
  
• Before signing this Contribution Agreement, you should form your Holding LLC so you can name it in the Contribution Agreement. 
  
  
• This Contribution Agreement will help you become the members of the Holding LLC, and the Holding LLC will become the sole/single member of the Subsidiary LLC. 
  
  
• This will complete your Holding Company Structure based upon the assumptions above.
